
Kathryn Rookes
Kathryn is an experienced attorney practicing franchise and business law. She is one of the very few franchise attorneys in the United States with experience in a government regulatory practice (Maryland Division of Securities), private practice, and as in-house counsel. This experience, coupled with her undergraduate education in Accounting and Economics, provides her with a broad perspective from which to best represent her clients.
As in-house counsel, she represented several multi-brand franchise organizations, counseling 20 different franchised brands. Her in-house experience includes hotels, restaurants, commercial and residential cleaning, co-working spaces, swim schools, children’s activity centers, and the pet boarding and health care industries. She also has experience representing a multi-brand, multi-unit private equity franchisee. Her franchise experience includes responsibility for all franchise regulatory matters, compliance with disclosure, registration, and relationship laws, preparation of disclosure documents, franchise agreements and related documents, and preparation of financial performance representations.
She has extensive experience in franchisor, franchisee, and developer relationships, compliance with franchise agreements and operating standards, and drafting impact and other policies. Her international experience includes complying with international disclosure laws, preparing disclosure documents, development agreements, franchise agreements and related documents, and negotiating development agreements in more than 35 countries. She is an avid supporter of using plain English in all documents, believing that agreements that are easy to understand support the business process by reducing delays in negotiation and execution. She also has extensive experience in franchise administration and excels at using technology to streamline and improve document preparation and retention.
